The company secretary has a crucial role within the company structure and has important responsibilities. This practical course is designed for the Company Secretary of a company limited by guarantee that may also be a registered charity. The workshop covers all the basic requirements and day to day duties that you are required to perform as a Company Secretary. You will learn about company structures; the relationship between members, directors, staff and Company Secretary; Memorandum and Articles of Association; a model draft Memorandum and Articles which we will provide; legal formalities and legal requirements for keeping records and notifying relevant bodies; meetings, notices, procedures, formalities and minutes; how to fit everything into a timetable and avoid penalties for being late; resolutions - special, extraordinary and other and alterations to Memorandum and Articles and how to do this without breaking the rules.
